| I. Brief Introduction of the Factory: The factory is located in a small city with a population of 1,100,000 in the east part of China, which is one of the opened-to-outside-world coastal cities approved by the China State Council. There is a very good public security environment. This city has a history over decades in diamonds-processing, coupled with very low labor expenses in China. The factory was founded in 2001, a 230+ workers diamonds cutting and polishing factory, which is a private ownership with limited liability with a sum of investment of 780,000.00 RMB Yuan (about US$93,980.00). The factory’s main operation is to process the rough diamonds to polished ones supplied by customers.
The factory has workshops of 1,100 square meters (about 1,316 sq.yd.), consisting of two diamond processing workshop, one QC room, one machine-repairing room, one accounting department, one guard-room. etc.
(i) as "Client" the partner provides rough diamonds to the factory for processing and makes the payment of processing fee as consented by both parties. (ii) as "Investor", the partner investing real money may acquire up to 51% of the factory's shareholdings and may or may not demand management participation in the factory. The historical Gross Profit Ratio of the factory was 15-18% as to the investments in increasing equipments and workers. (iii) as "Middleman", the partner introduces Client(s) or Investor(s) to the factory. The factory pays the partner a commission on percentage basis of the total processing fee received or by other means consented by both parties.
